PipeFlow AI ("PipeFlow AI", "we", "us" or "our") provides AI automation, AI agents, workflows, and software services to businesses.
These Terms of Service ("Terms") govern your access to and use of PipeFlow AI's services. By subscribing to, accessing, or using our services, you agree to these Terms.
PipeFlow AI is operated as a sole trader business in Brisbane, Queensland, Australia.
1. Our Services
PipeFlow AI provides AI-powered technology and automation services to businesses.
Our services may include:
Custom AI automation systems.
AI agents and workflows.
SaaS and software products.
AI-powered business processes.
Integrations with third-party software and platforms.
Implementation, configuration and support services.
The specific services provided to you may depend on the subscription, proposal, order, statement of work, or other agreement between you and PipeFlow AI.
We may modify, improve, update, or discontinue features of our services from time to time.
2. Eligibility
Our services are intended for business customers only.
By using our services, you represent that:
You are using the services on behalf of a business or organisation.
You have authority to enter into these Terms on behalf of that business or organisation.
You will use the services only for lawful business purposes.
You will comply with all applicable laws and regulations.
We may refuse access to our services where we reasonably believe these requirements have not been met.
3. Accounts and Access
Certain services may require you to create an account or provide information to us.
You are responsible for:
Providing accurate information.
Keeping account credentials secure.
Restricting access to authorised personnel.
Promptly notifying us of suspected unauthorised access.
Ensuring that individuals using your account comply with these Terms.
You are responsible for activity occurring through your account unless the activity resulted from a security issue caused by PipeFlow AI.
4. Subscriptions
Some PipeFlow AI services are provided through monthly subscriptions.
Unless otherwise agreed:
Subscriptions are billed monthly in advance.
Your subscription will continue until cancelled or terminated.
You may cancel your subscription at any time before the next renewal date.
Cancellation will generally take effect at the end of the current paid billing period.
You will generally retain access to the applicable service until the end of the period for which you have paid.
Specific subscription terms, pricing, or service arrangements agreed with you may supplement or replace these general terms.
5. Payment Terms
You agree to pay all applicable subscription fees and other charges communicated to you before purchase.
Payments may be processed through third-party payment providers, including Stripe.
You authorise PipeFlow AI or its payment provider to charge the applicable payment method for recurring subscription fees.
If a payment fails, we may request that you update your payment information.
We may suspend access to paid services for overdue amounts, subject to applicable law and any applicable contractual requirements.
6. Refunds
Subscription payments are generally non-refundable once a billing period has commenced, except where required by applicable law or where PipeFlow AI agrees otherwise.
Refund requests may be considered on a case-by-case basis.
Nothing in these Terms is intended to exclude or restrict any rights or remedies that cannot legally be excluded or restricted under applicable law.
7. Cancellation
You may cancel your subscription at any time before the next renewal date.
Cancellation does not automatically entitle you to a refund for the current billing period.
Unless otherwise agreed, your access will continue until the end of the current paid subscription period.
You remain responsible for any amounts properly incurred before cancellation.
8. User Responsibilities
You agree to use PipeFlow AI's services responsibly and lawfully.
You must not:
Use the services for unlawful, fraudulent, or deceptive purposes.
Violate the rights of another person or business.
Infringe intellectual property rights.
Attempt to gain unauthorised access to our systems.
Interfere with or disrupt the services.
Introduce malware, malicious code, or harmful content.
Circumvent security or usage restrictions.
Reverse engineer or attempt to extract proprietary source code except where permitted by law.
Use the services to create or distribute harmful, illegal, or abusive content.
Use automated means to overload or abuse our infrastructure.
Resell or redistribute our services unless expressly authorised.
Use the services in a manner that could reasonably damage PipeFlow AI, its systems, or its reputation.
You are responsible for ensuring that information and materials you provide to PipeFlow AI may lawfully be processed and used for the requested service.
9. AI-Specific Responsibilities
AI systems can produce inaccurate, incomplete, biased, outdated, or inappropriate results.
You acknowledge that AI-generated content should not automatically be treated as accurate, complete, or authoritative.
You are responsible for reviewing AI-generated outputs before using them for important business, financial, legal, employment, safety, or other consequential decisions.
You should not rely solely on an AI-generated output where human review or professional advice is reasonably necessary.
PipeFlow AI does not guarantee that AI outputs will always be accurate, reliable, unique, suitable for a particular purpose, or free from errors.
10. AI Outputs
Unless otherwise agreed in writing, PipeFlow AI retains ownership of AI-generated outputs and materials produced through our services, subject to any rights that cannot legally be assigned and any third-party rights that may apply.
Because AI services may involve third-party models and technology, PipeFlow AI cannot guarantee that every output is capable of being exclusively owned or protected by PipeFlow AI under applicable intellectual property law.
You are responsible for ensuring that your intended use of any output is legally appropriate.
Where a separate written agreement with a customer specifies different ownership or licensing arrangements, that agreement will apply to the extent of any inconsistency.
11. Customer Content
You retain ownership of information, documents, materials, and other content that you provide to PipeFlow AI ("Customer Content"), subject to the rights necessary for us to provide the services.
You grant PipeFlow AI a limited right to access, process, transmit, store, and otherwise use Customer Content as reasonably necessary to:
Provide the services.
Configure and operate automation systems.
Provide customer support.
Maintain and secure our services.
Comply with our legal obligations.
You are responsible for ensuring that you have the necessary rights, permissions, and lawful authority to provide Customer Content to us.
12. Third-Party AI and Software Providers
Our services may depend on third-party platforms, APIs, software, and AI providers.
These may include:
OpenAI.
Anthropic/Claude.
Stripe.
Cloud hosting and infrastructure providers.
Other software, API, or technology providers used to deliver particular services.
Third-party services may have their own terms, limitations, availability requirements, and privacy policies.
PipeFlow AI is not responsible for failures, outages, changes, or limitations of third-party services outside our reasonable control.
Where appropriate, your use of a particular third-party service may also be subject to that provider's terms.
13. Intellectual Property
Except where expressly stated otherwise:
PipeFlow AI owns its software, systems, workflows, automation frameworks, templates, processes, documentation, branding, and other proprietary materials.
You do not acquire ownership of PipeFlow AI's underlying technology merely by subscribing to or using our services.
You may use the services and permitted outputs for your legitimate business purposes in accordance with these Terms.
You must not copy, reproduce, sell, license, distribute, or commercially exploit PipeFlow AI's proprietary technology without our written permission.
Nothing in these Terms transfers intellectual property rights that cannot legally be transferred.
14. Feedback
If you provide suggestions, ideas, recommendations, or feedback about our services, you agree that PipeFlow AI may use that feedback to improve our services without owing you compensation, provided that we do not disclose your confidential information in doing so.
15. Service Availability
We aim to provide reliable and continuous services but do not guarantee that our services will always be available, uninterrupted, or error-free.
Services may occasionally be unavailable due to:
Maintenance.
Updates.
Technical problems.
Security incidents.
Third-party provider outages.
Internet or infrastructure failures.
Events outside our reasonable control.
We may perform maintenance or make changes to our services where reasonably necessary.
16. Changes to Services
We may modify, improve, replace, or discontinue features of our services from time to time.
Where a change materially reduces the core functionality of a paid service, we will take reasonable steps to communicate the change where appropriate.
Nothing in this section permits us to avoid obligations imposed by applicable law or to make changes to a contract in a manner that would otherwise be unlawful.
17. Suspension of Services
We may suspend or restrict access to the services where reasonably necessary, including where:
You breach these Terms.
Your account presents a security risk.
Your use threatens the integrity or security of our systems.
You fail to make required payments.
Your use creates legal or regulatory risk.
Suspension is necessary to protect PipeFlow AI, another customer, or a third party.
We reasonably determine that continued access is inappropriate or commercially impractical.
Where reasonably practicable, we will provide notice before suspension.
We may suspend access without prior notice where immediate action is reasonably necessary to protect our systems, users, or legal interests.
18. Termination
Either party may terminate an applicable service arrangement in accordance with these Terms and any applicable agreement.
You may terminate a monthly subscription by cancelling before the next renewal date.
PipeFlow AI may terminate or suspend a service where reasonably necessary, including where:
You materially breach these Terms.
You fail to pay amounts properly due.
Your use of the services is unlawful or creates material risk.
Continued provision of the service becomes commercially or technically impractical.
We discontinue the relevant service.
Where appropriate, we will provide reasonable notice and an opportunity to remedy a breach.
Termination does not affect rights or obligations that arose before termination.
19. Effect of Termination
Following termination:
Your right to access the relevant services will end.
You remain responsible for amounts properly incurred before termination.
We may retain information where required by law or reasonably necessary for legitimate business purposes.
Where applicable, we may provide reasonable assistance concerning the transition or export of customer information, subject to the relevant service and agreement.
Certain provisions of these Terms are intended to survive termination, including provisions concerning intellectual property, confidentiality, liability, dispute resolution, and outstanding payment obligations.
20. Confidentiality
Each party may receive confidential information belonging to the other party.
Each party agrees to take reasonable steps to protect confidential information and not disclose it except where:
Disclosure is authorised.
Disclosure is necessary to provide the services.
Disclosure is required by law.
Disclosure is made to professional advisers or service providers who have appropriate confidentiality obligations.
Confidential information does not include information that is publicly available, independently developed, lawfully obtained from another source, or already known without a confidentiality obligation.
21. Privacy and Data Protection
Our handling of personal information is described in our Privacy Policy.
By using our services, you acknowledge that information may be processed by PipeFlow AI and relevant third-party service providers as necessary to provide the services.
Where PipeFlow AI processes personal information on behalf of a business customer, additional contractual data-processing arrangements may apply.
You are responsible for ensuring that you have appropriate authority to provide personal information to PipeFlow AI for processing.
22. No Professional Advice
Unless expressly agreed otherwise, PipeFlow AI's services do not constitute legal, financial, medical, accounting, employment, investment, or other professional advice.
AI-generated information should not be treated as a substitute for advice from a suitably qualified professional.
23. Warranties and Disclaimers
To the maximum extent permitted by law, the services are provided on an "as available" basis.
We do not guarantee that:
The services will always be uninterrupted.
AI outputs will always be accurate.
AI outputs will be suitable for every purpose.
The services will meet every particular business requirement.
AI-generated content will be unique or free from third-party rights.
Third-party AI or software services will remain available or unchanged.
We will, however, comply with any warranties, guarantees, or other obligations that cannot legally be excluded.
24. Limitation of Liability
To the maximum extent permitted by law, PipeFlow AI will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, or data, arising from or relating to the services.
PipeFlow AI's liability will be limited to the extent permitted by applicable law and, where legally permitted, to the fees paid by the customer for the affected services during the period reasonably connected with the event giving rise to the claim.
Nothing in these Terms excludes, restricts, or modifies liability that cannot legally be excluded, restricted, or modified.
This may include rights and remedies available under applicable Australian consumer protection laws.
25. Customer Indemnity
To the extent permitted by law, you agree to compensate PipeFlow AI for reasonable losses, liabilities, claims, and expenses arising from your:
Breach of these Terms.
Unlawful use of the services.
Infringement of another person's intellectual property or other rights.
Unauthorised use of Customer Content.
Misuse of the services.
This clause does not apply to the extent that the relevant loss was caused by PipeFlow AI's own breach, negligence, or unlawful conduct.
26. Force Majeure
PipeFlow AI will not be responsible for delays or failures caused by circumstances beyond our reasonable control.
These may include:
Natural disasters.
Internet or telecommunications failures.
Cyberattacks.
Government actions.
Power outages.
Third-party infrastructure failures.
Widespread technology outages.
War, civil unrest, or other emergencies.
We will take reasonable steps to resume affected services where practicable.
27. Dispute Resolution
If a dispute arises between you and PipeFlow AI, the parties should first attempt to resolve the dispute through good-faith negotiation.
A party wishing to raise a dispute should provide reasonable written notice describing the issue.
The parties will attempt to negotiate a resolution before commencing court proceedings, except where urgent legal or equitable relief is reasonably required.
If the dispute cannot be resolved through negotiation, the parties submit to the courts of Queensland, Australia, and courts competent to hear appeals from them.
28. Governing Law
These Terms are governed by the laws of Queensland, Australia.
You agree that the courts of Queensland have jurisdiction in relation to disputes arising from or connected with these Terms, subject to any mandatory rights or jurisdictional requirements under applicable law.
29. Changes to These Terms
We may update these Terms from time to time to reflect changes to our services, business operations, technology, or legal requirements.
Where a change materially affects your rights or obligations under an existing paid subscription, we will take reasonable steps to provide notice where appropriate.
Your continued use of the services after an updated version becomes effective may constitute acceptance of the updated Terms, to the extent permitted by law.
30. Assignment
You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where permitted by law.
PipeFlow AI may transfer or assign these Terms in connection with a business sale, restructuring, merger, or transfer of substantially all of its business or assets, subject to applicable law.
31. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will continue to apply.
32. Entire Agreement
These Terms, together with any applicable order, proposal, subscription agreement, statement of work, or other written agreement between you and PipeFlow AI, form the agreement between the parties concerning the relevant services.
If there is an inconsistency between these Terms and a specific written agreement entered into between PipeFlow AI and a customer, the specific written agreement will prevail to the extent of the inconsistency.
33. No Waiver
If PipeFlow AI does not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce that provision later.
